MIZUKI FAN ART CONTEST - TERMS & CONDITIONS

Eligibility

The contest is open to individuals who are 18 years of age or older. Participants under the age of 18 must have permission from a parent or guardian.

Contest Entry Period

The contest begins on the date of announcement on Twitter of the contest and ends on August 21, 2024 at 6 pm PT (the “Entry Deadline”). All entries must be received by the Entry Deadline.

How to Enter

To enter, participants must post their original artwork featuring the character "Mizuki" to Twitter with #MizukiArtContest and tag @Azuki, @arbitrum, and @ThankArbitrum.

Each participant may submit only one entry.

License and Rights

By submitting artwork, participants grant Chiru Labs, Inc. a limited, non-exclusive, royalty-free license to use, reproduce, display, and distribute the artwork for the purpose of the contest and related promotional activities. This license automatically terminates upon the conclusion of the contest and the announcement of winners, except as necessary to promote the contest and its results.

Participants retain all other rights to their artwork, subject to the limitations outlined in these terms and conditions.

Intellectual Property and Participant’s Representations

Participants represent and warrant that their submission is their original work and does not infringe upon the intellectual property rights of any third party.

Participants represent and warrant that their submission will not contain any obscenity, bigotry or inappropriate or offensive content.

Participants agree to indemnify and hold harmless Chiru Labs, Inc., the Arbitrum Foundation, the ArbitrumDAO and Thrive Impact Foundation, and its and their respective affiliates, sponsors, directors, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of any breach of the above representations and warranties.

Prizes

The top 15 entries will receive the following prizes:

• 1st - 4th place: 2,300 $ARB
• 5th - 9th place: 1,840 $ARB
• 10th - 15th place: 1,100 $ARB

There is no monetary compensation or other compensation for participating in the contest beyond the prizes awarded to the winners.

Participants understand and acknowledge that the contest sponsors may require KYC to be completed in order to distribute the applicable prizes in accordance with applicable law. In the event that KYC is required, participants must complete KYC in order to receive the applicable prize.

Judging and Winner Selection

The top 15 entries will be selected by representatives of Chiru Labs, Inc., Steamboy and Febtea (the “Judges”). The Judges shall have sole discretion as to which submissions will be selected as the top 15 entries.

The top 15 entries chosen by the Judges will then be uploaded to Azuki’s Zora account as free mints. Each unique minter for a given submission will count as 1 vote.

The voting period will begin on August 23, 2024 at 10 am PT and end on August 30, 2024 at 10 am PT.

At the conclusion of the voting period, the top 15 entries will be ranked 1 through 15 based on the number of votes received and receive the corresponding prize outlined in Section 6 above.

Notification of Winners and Prize Payouts

The top 15 entrants, as determined by the Judges in their sole discretion, will be notified via Twitter DM promptly following the Entry Deadline.

At any time prior to, but no later than, the conclusion of the voting period, participants who rank as Top 15 entrants must connect their wallet to thankarb.com in order to receive their applicable prize.

Publicity

By participating, participants consent to the use of their twitter name, likeness, and artwork in any media for promotional purposes without further compensation or notification, except where prohibited by law.

General Conditions

Chiru Labs reserves the right to cancel, suspend, and/or modify the contest or any part of it if any fraud, technical failures, or any other factor beyond Chiru Labs’s reasonable control impairs the integrity or proper functioning of the contest, as determined by Chiru Labs in its sole discretion.

Chiru Labs reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry or voting process or the operation of the contest, or to be acting in violation of these Terms and Conditions or any other promotion, or in an unsportsmanlike or disruptive manner.

Governing Law

These Terms and Conditions are governed by the laws of the State of California, without regard to its conflict of law principles.

Limitation of Liability

Chiru Labs is not responsible for any technical issues, including but not limited to any errors or failures in the submission process.

By participating, entrants agree to release and hold harmless Chiru Labs, Arbitrum Foundation, ArbitrumDAO, Thrive Impact Foundation, and their respective affiliates, subsidiaries, and their directors, officers, employees, and agents from any and all liability for any injuries, loss, or damage of any kind arising from or in connection with the contest or the use or misuse of any prize.
